Events after the year end (1)

On 20 July 2026, Gates Industrial Corporation plc underwent a Scheme of Arrangement pursuant to which it was re-registered as a private limited company and renamed Gates Industrial Corporation (UK) Ltd. As part of the reorganisation, a new holding company, Gates Industrial Corporation Ltd, incorporated and registered in Bermuda, became the ultimate parent company of the Group.

Contingent liabilities (2)

The Company has guaranteed the borrowing facilities of certain of its subsidiaries. As at 31 December 2025, these facilities totalled $1.1 million (28 December 2024: $1.1 million), against which $nil (28 December 2024: $nil) had been drawn.
The Company has also guaranteed certain property leases and performance bonds entered into in the ordinary course of business by certain of its subsidiaries.
