Events after the year end (2)

On 1 April 2026, the ultimate parent company Pure Newco Ltd was acquired by Pursuit Bidco Ltd as part of a restructure to facilitate both a minority equity investment by Centerbridge funds, and new debt financing.
On this date the ultimate parent company changed from Pure Newco Ltd to Pursuit Topco Ltd, a company incorporated and registered in Jersey; the transaction did not result in any change to the ultimate control of the Group, nor did it have any impact on the Company's operations, assets or liabilities.

Contingent liabilities (1)

The Company is party to a debenture in relation to a £35,000,000 (2024 - £20,000,000) revolving credit facility between Pure Group Bidco Limited and Santander UK PLC; at the Statement of Financial Position date a total of £20,000,000 (2024 - £15,000,000) had been drawn against this facility, and the directors do not believe there will be any likelihood of a claim under this debenture.
